1. Introduction

These Terms of Service ("Terms") govern your use of Digital Loyalty, a customer loyalty platform operated by PartnerPro Limited ("we", "us", "our").

By accessing or using Digital Loyalty, you agree to be bound by these Terms. If you do not agree, please do not use our service.

2. Service Description

Digital Loyalty is a software-as-a-service (SaaS) platform that enables businesses to:

• Create and manage customer loyalty programs

• Issue digital loyalty cards and rewards

• Track customer engagement and purchase history

• Analyse loyalty program performance

• Communicate with program members

3. Eligibility

To use Digital Loyalty, you must:

• Be at least 18 years of age

• Have the authority to bind your business to these Terms

• Provide accurate and complete registration information

• Be a registered business entity (sole trader, partnership, or limited company)

4. Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information

• Maintain and update your information as needed

• Keep your login credentials secure and confidential

• Notify us immediately of any unauthorised access

• Accept responsibility for all activities under your account

5. Subscription and Billing

5.1 Subscription Plans

We offer monthly and annual subscription plans. Current pricing is available on our website. Prices are exclusive of VAT where applicable.

5.2 Free Trial

New accounts receive a 14-day free trial. A valid payment method is required to start your trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

5.3 Payment

All payments are processed securely via Stripe. By providing payment details, you authorise us to charge your payment method for the subscription fees. Payments are due in advance for each billing period.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• You retain access until the end of your current billing period

• No refunds are provided for unused portions of your subscription

• Your data will be retained for 90 days, then permanently deleted

5.5 Refund Policy

We do not offer refunds for subscription fees. You may cancel at any time and continue using the service until your current billing period ends.

6. Acceptable Use

You agree not to use Digital Loyalty to:

• Violate any applicable laws or regulations

• Infringe on intellectual property rights

• Transmit harmful, offensive, or illegal content

• Collect data without appropriate consent

• Send spam or unsolicited communications

• Attempt to gain unauthorised access to our systems

• Interfere with the service's operation

• Use the service for any fraudulent purpose

• Resell or redistribute the service without permission

7. Your Responsibilities

As a Digital Loyalty user, you are responsible for:

• Compliance with all applicable data protection laws (including UK GDPR)

• Obtaining appropriate consent from your consumers

• The accuracy and legality of data you collect

• Your communications with your consumers

• Any third-party integrations you enable

8. Intellectual Property

Digital Loyalty and all associated intellectual property (including software, designs, trademarks, and content) remain the property of PartnerPro Limited. You receive a limited, non-exclusive, non-transferable licence to use the service during your subscription.

You retain ownership of all content and data you upload to Digital Loyalty. By uploading content, you grant us a licence to host, store, and display that content as necessary to provide the service.

9. Service Availability

9.1 Uptime Commitment

We strive to maintain 99.9% service availability, measured monthly. This excludes scheduled maintenance and circumstances beyond our reasonable control.

9.2 Scheduled Maintenance

We will provide reasonable advance notice of planned maintenance that may affect service availability.

9.3 No Guarantee

While we work to maintain high availability, we do not guarantee uninterrupted service. The service is provided "as is" without warranties of any kind.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you shall not exceed the fees you paid us in the 3 months preceding the claim

• We are not liable for any indirect, incidental, special, consequential, or punitive damages

• We are not liable for loss of profits, data, business, or goodwill

• We are not liable for any third-party claims against you

Nothing in these Terms limits our liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless PartnerPro Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of Digital Loyalty

• Your violation of these Terms

• Your violation of any third-party rights

• Content you upload or transmit through the service

12. Termination

12.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to delete your account.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

• You breach these Terms

• You fail to pay subscription fees

• Your use poses a security risk

• Required by law

• We discontinue the service (with reasonable notice)

12.3 Effect of Termination

Upon termination, your access to Digital Loyalty will cease. We will retain your data for 90 days, during which you may request an export. After 90 days, all data will be permanently deleted.

13. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using Digital Loyalty, you acknowledge that you have read and understood our Privacy Policy.

You acknowledge that you act as a Data Controller for consumer data collected through Digital Loyalty, and we act as a Data Processor on your behalf. You must ensure compliance with applicable data protection laws for all personal data you process using our service.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use of Digital Loyalty after changes become effective constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute Resolution

Before initiating legal proceedings, you agree to contact us to attempt to resolve any dispute informally. We will work in good faith to address your concerns within 30 days.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and PartnerPro Limited.

• Severability: If any provision is found invalid, the remaining provisions remain in effect.

• Waiver: Failure to enforce any right does not waive that right.

• Assignment: You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
